Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and We6 Oy ("CodeChamp", "we", "us") and govern your access to and use of the CodeChamp website at codechamp.app, the hosted application at app.codechamp.app, and any related services (together, the "Service"). By creating an account or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

CodeChamp is a gamified leaderboard for engineering teams. It connects to your GitHub organization, computes PR review scores and badges from GitHub activity, and can post weekly digests to Slack. CodeChamp reads GitHub data on demand via the GitHub API and stores only derived data (scores, badge state, configuration). Source code, commit contents, pull-request bodies, and repository file contents are not persisted by CodeChamp.

2. Eligibility and Accounts

You must be at least 16 years old and have the authority to enter into these Terms on behalf of yourself and, where applicable, the organization you represent. You create an account by authenticating with GitHub. You are responsible for keeping your GitHub credentials secure and for all activity that occurs under your account. You must notify us promptly of any suspected unauthorized access.

3. Organization Accounts and Admins

When you connect CodeChamp to a GitHub organization, the person who installs or configures the integration acts as an administrator of that workspace within CodeChamp ("Admin"). Admins may invite or remove users, configure scoring, connect or disconnect Slack, manage billing, and delete the workspace. Admins represent that they have authority to bind the organization to these Terms.

4. Third-Party Services

The Service integrates with third-party platforms, including GitHub, Slack, Stripe, Supabase, and Vercel. Your use of those platforms is governed by their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services. If your access to a third-party platform is revoked, parts of the Service may stop working.

5. Plans, Trials, and Billing

CodeChamp is offered on a free tier and several paid subscription tiers described on our Pricing page. Paid plans may include a free trial. By starting a paid subscription you authorize us, through our payment processor Stripe, to charge the applicable fees on a recurring basis (monthly or annually) until cancellation. Fees are exclusive of applicable taxes, which will be added where required. All fees are in U.S. dollars unless stated otherwise.

We may change pricing with at least 30 days' notice. Continued use of the Service after a pricing change takes effect constitutes acceptance of the new fees.

6. Cancellation and Refunds

You may cancel your subscription at any time from the Service's settings. Cancellation takes effect at the end of the current billing period, and you will retain paid features until then. Except where required by law, fees already paid are non-refundable. If you believe you have been charged in error, contact us within 30 days and we will review the request in good faith.

7. Developer Count and Overages

Paid plans are sized by number of active developers, defined as distinct GitHub users in the connected organization who opened or reviewed at least one pull request in the last 30 days. If your usage exceeds the tier you are on, we will notify you and allow at least one billing cycle to upgrade before restricting features.

8. Acceptable Use

You agree not to, and not to permit anyone else to:

  • Use the Service in violation of applicable laws or third-party rights.
  • Reverse engineer, decompile, or attempt to extract source code, except to the extent expressly permitted by law.
  • Probe, scan, disrupt, or circumvent the security of the Service or any related systems.
  • Use the Service to transmit malware, spam, or other harmful content.
  • Scrape, rent, resell, sublicense, or white-label the Service without our written consent.
  • Use the Service to harass, defame, or retaliate against developers based on leaderboard rankings or badge outcomes.
  • Exceed documented rate limits of integrated APIs through the Service.

9. Customer Data

"Customer Data" means the data you submit to the Service or that the Service derives from your connected GitHub organization (for example, developer identifiers, review counts, scores, and badge state). You retain all rights in Customer Data. You grant us a worldwide, non-exclusive, royalty-free license to host, process, and display Customer Data solely to provide and improve the Service for you. Our handling of personal data is further described in our Privacy Policy.

10. Our Intellectual Property

The Service, including its software, design, logos, and content we create, is owned by CodeChamp or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during your subscription and in accordance with these Terms. No other license is granted.

11. Feedback

If you send us feedback, suggestions, or ideas about the Service, we may use them without restriction or obligation to you.

12. Beta and Experimental Features

From time to time, we may offer features labeled "beta", "preview", or similar. These features are provided as-is, may change or be withdrawn, and are not subject to any service-level commitment.

13. Availability

We aim to keep the Service available but do not guarantee uninterrupted operation. We may perform planned or emergency maintenance. Some features, such as the weekly Slack digest and score sync, depend on third-party APIs and scheduled jobs and may be delayed or unavailable outside our control.

14. Suspension and Termination

You may stop using the Service at any time by canceling your subscription and disconnecting the CodeChamp GitHub App. We may suspend or terminate your account or workspace if (a) you materially breach these Terms, (b) your use poses a security or legal risk, (c) required by law, or (d) after prolonged inactivity. Where reasonable, we will provide notice and an opportunity to cure. On termination, your right to use the Service ends and we may delete Customer Data as described in our Privacy Policy.

15. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or that scores, badges, or digests will be complete or accurate. The Service is intended for engagement and visibility; it is not a performance review, HR, or compensation tool.

16. Limitation of Liability

To the maximum extent permitted by law, CodeChamp and its affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with the Service, even if advised of the possibility of such damages. Our total aggregate liability for all claims arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid to CodeChamp in the 12 months preceding the event giving rise to the claim and (b) one hundred U.S. dollars (US$100).

17. Indemnification

You will defend, indemnify, and hold harmless CodeChamp, its affiliates, and their personnel from and against any third-party claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Service in violation of these Terms, your Customer Data, or your violation of applicable law or third-party rights.

18. Changes to the Service or Terms

We may modify the Service or these Terms from time to time. If we make material changes to these Terms, we will provide reasonable advance notice (for example, by email or an in-product notice). Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

19. Governing Law and Disputes

These Terms are governed by the laws of Finland, without regard to its conflict-of-laws rules. The courts located in Helsinki, Finland will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any competent court. Nothing in this section affects mandatory consumer-protection rights that apply to you under the law of your country of residence.

20. General

These Terms, together with the Privacy Policy and any order form or plan description, are the entire agreement between you and CodeChamp regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
